Professional B2B Subscriptions
NAVIWO services are reserved for freight professionals, logistics companies, and commercial agencies. Contracts fall under B2B commercial law with no consumer cooling-off period.
01. Purpose of the Sales Agreement
These General Terms of Sale govern all subscriptions to paid SaaS plans, optional modules, and related professional services provided by NAVIWO LLC.
Subscribing to or paying for any plan constitutes express and unreserved acceptance of these terms.
02. Subscription Plans & Trial Periods
NAVIWO offers modular packages (Shipping, Ground Transport, Aviation Cargo). Features and volume quotas are detailed in the active pricing table.
Trial periods or promotional discounts (e.g., -50% on month one) may be granted. Once concluded, subscriptions automatically transition to the agreed standard monthly rate.
03. Billing & Secure Payment Gateways
Subscription fees are collected via credit card or automated bank transfer through Stripe Inc., a PCI-DSS Level 1 certified gateway.
NAVIWO LLC never directly stores full cardholder payment details on its servers.
04. Automatic Renewal & Contract Term
Monthly subscriptions carry no minimum term commitment and renew tacitly on each monthly billing cycle date.
Annual plans require a firm commitment of twelve (12) consecutive billing months.
05. Cancellation & Termination Procedure
Clients may cancel their subscription at any time directly through the admin dashboard or by emailing billing@naviwo.com.
Cancellations take effect at the end of the current paid billing cycle. Service access remains active until the expiration date.
06. B2B No-Refund Policy
Due to the digital nature and immediate provisioning of cloud computing infrastructure, started billing periods are strictly non-refundable and will not be prorated.
Any begun billing cycle remains due in full.
07. Data Reversibility & Export
Upon cancellation, the Client has a period of thirty (30) calendar days to export all databases (manifests, packages, contacts) in standard CSV or JSON format.
After this period, NAVIWO LLC permanently and securely wipes tenant database partitions.
08. Payment Defaults & Suspension
Failed payments trigger automatic retries within 3 business days. Continued non-payment will result in automated account suspension until resolved.
09. Financial Liability Cap
In the event of contractual failure exclusively attributable to NAVIWO LLC, total indemnification is strictly capped at the actual sums received from the Client over the last three (3) months preceding the incident.
10. Governing Law & Dispute Resolution
These terms are governed by the laws of the State of New Mexico (USA). Any commercial litigation shall be settled exclusively in the competent courts of that State.
